PLEASE READ THESE TERMS CAREFULLY BEFORE USING THIS WEBSITE OR PLATFORM. BY ACCESSING RSICOACHING.COM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.
Acceptance of Terms
These Terms of Use constitute a binding agreement between you ("User," "Client," or "you") and RSI Coaching LLC, a Wyoming limited liability company ("RSI Coaching" or "we"), governing your access to and use of: the website located at rsicoaching.com ("Website"); the Nightly AI platform ("Platform" or "Nightly"); Business Coaching services ("Business Coaching"); and Certified High Performance Coaching ("CHPC") — collectively referred to as the "Services."
By accessing the Website, registering for a free trial, or purchasing any Service, you confirm that you are at least 18 years of age, have the legal authority, and agree to be bound by these Terms in their entirety.
Description of Services
2a. Nightly
Nightly is an AI-powered operational management and personal development platform designed for hospitality managers and operators. Services include AI-generated pre-shift briefs, post-shift debriefs, shift intelligence, performance dashboards, staff management tools, and the 12-Day Operator Sprint coaching program.
2b. Business Coaching
A 1-on-1 business advisory coaching engagement focused on venue evaluation, operational structure, and profitability. Application-only. Acceptance at RSI Coaching LLC's sole discretion.
2c. CHPC — Certified High Performance Coaching
A structured 1-on-1 personal and professional development coaching program based on the Certified High Performance Coaching methodology. Application-only. Acceptance at RSI Coaching LLC's sole discretion.
Account Registration
To access Nightly, you must register for an account providing accurate, complete, and current information. You are responsible for: maintaining the confidentiality of your account credentials; all activity that occurs under your account; notifying RSI Coaching immediately of any unauthorised use of your account at [email protected]; and ensuring all information in your account remains accurate and up to date.
You may not share your account credentials with any other person or entity. Each account is for a single user. RSI Coaching LLC reserves the right to terminate accounts found to be shared or misused.
Free Trial
4a. Trial Period
New Nightly users receive a 15-day free trial beginning on the date of account registration. No payment is required during the trial period.
4b. Trial Purpose
The free trial is not a test drive — it is a data-building and personalisation period. During the trial, the platform begins building and personalising your AI agent to your specific operation.
4c. Trial Conversion
Unless you cancel before day 16, your account will automatically convert to a paid subscription on day 16 at the applicable rate. By registering for a free trial, you authorise RSI Coaching LLC to charge your payment method at the end of the trial period.
4d. One Trial Per User
Free trials are available once per user. RSI Coaching LLC reserves the right to deny a free trial to any user who has previously registered for a trial.
Subscription & Payment
5a. Pricing
Monthly plan: $99 USD / $99 CAD per month.
5b. Automatic Renewal
Subscriptions automatically renew at the end of each billing period. By subscribing, you authorise RSI Coaching LLC to charge your payment method on a recurring basis until you cancel.
5c. Price Changes
RSI Coaching LLC reserves the right to modify subscription pricing at any time with a minimum of 30 days' written notice to your registered email address. Continued use of the platform after the effective date constitutes acceptance of the new pricing.
5d. Payment Methods
All payments are processed through a third-party payment processor. RSI Coaching LLC does not store your full payment card details.
5e. Failed Payments
If a payment fails, RSI Coaching LLC will attempt to process the payment again. If payment cannot be collected after reasonable attempts, your account may be suspended or terminated.
5f. Taxes
You are responsible for all applicable taxes on your subscription, including GST/HST for Canadian users. RSI Coaching LLC will collect and remit applicable Canadian GST/HST as required by the Canada Revenue Agency.
Cancellation & Refunds
6a. Cancellation
You may cancel your Nightly subscription at any time through your account settings. No phone call, email, or notice is required. Cancellation takes effect at the end of the current billing period. You will retain access to the platform until the end of the period you have paid.
6b. Refunds
RSI Coaching LLC does not provide refunds for partial billing periods. Refund requests are at RSI Coaching LLC's sole discretion.
6c. Coaching Program Cancellations
Business Coaching and CHPC cancellation terms are set out in the individual coaching agreement signed at the commencement of each engagement. In the absence of a specific agreement, all coaching fees are non-refundable and session fees paid in advance are refundable for sessions not yet delivered with a minimum of 7 days' notice.
Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You expressly agree not to: use the platform for any purpose in violation of any applicable federal, state, or provincial law; use AI-generated content as the basis for any employment decision; attempt to reverse-engineer, decompile, or otherwise derive source code from the platform; share, sell, resell, or sublicense the platform to any third party; upload false, misleading, or fraudulent data into the platform; use the platform to harass or harm any individual; attempt to gain unauthorised access to any part of the platform or its infrastructure; use automated bots, scrapers, or data harvesting tools on the platform; interfere with or disrupt the performance of the platform; or infringe any intellectual property rights of RSI Coaching LLC or any third party.
RSI Coaching LLC reserves the right to suspend or terminate your account immediately and without notice for any violation of these acceptable use provisions.
User Responsibilities
8a. Data Accuracy
You are solely responsible for the accuracy, completeness, and legality of all data entered into the Nightly platform, including venue data, staff information, and financial figures. RSI Coaching LLC cannot be responsible for the accuracy of AI-generated outputs if the inputs are inaccurate or incomplete.
8b. Staff Data
You represent and warrant that you have the right to enter staff information into the platform and that doing so complies with all applicable employment laws, privacy laws, and notification obligations to your employees in your jurisdiction.
8c. Employment Decisions
You acknowledge and agree that you bear full legal responsibility for all employment decisions made within your organisation, regardless of whether any platform data, AI output, or coaching recommendation was considered in making that decision.
8d. Professional Advice
You agree to seek independent professional advice — including legal, financial, HR, and accounting advice — before making any significant business, financial, or employment decision. You agree not to rely solely on any coaching or AI-generated content in making such decisions.
Intellectual Property
9a. RSI Coaching LLC's Property
All intellectual property on the Website and within the Nightly platform — including but not limited to graphics, logos, text, coaching frameworks, methodology, session content, AI models, and training data — is owned by or licensed to RSI Coaching LLC and is protected under applicable United States and Canadian intellectual property law.
9b. Your Content
You retain ownership of all data and content you enter into the platform ("User Content"). By entering User Content into the platform, you grant RSI Coaching LLC a non-exclusive licence to use, process, and analyse your User Content for the purpose of providing and improving the Services.
9c. AI Outputs
AI-generated outputs produced by the Nightly platform in response to your inputs are provided to you for your personal operational use. You may not commercialise, resell, or publicly distribute AI-generated outputs without RSI Coaching LLC's written consent.
9d. Coaching Content
All coaching materials, frameworks, session content, and methodologies shared during Business Coaching or CHPC engagements are the intellectual property of RSI Coaching LLC and/or the High Performance Institute. They are provided for your personal development only and may not be reproduced, distributed, or used for commercial purposes.
Privacy
Your use of the Services is subject to RSI Coaching LLC's Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your personal information as described in the Privacy Policy.
Third-Party Services
The platform may integrate with or link to third-party services and websites. RSI Coaching LLC is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is governed by their respective terms and privacy policies.
Platform Availability
RSI Coaching LLC does not guarantee that the Services will be available at all times or free from errors. We reserve the right to: modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice; perform maintenance that may temporarily interrupt platform availability; and modify these Terms at any time with reasonable notice for material changes.
Continued use of the Services following notice of changes constitutes acceptance of the updated Terms.
Termination
13a. By You
You may terminate your account at any time by cancelling your subscription and ceasing use of the platform.
13b. By RSI Coaching LLC
RSI Coaching LLC may suspend or terminate your account immediately and without notice if you: violate any provision of these Terms; fail to pay any amounts owing; or engage in conduct that RSI Coaching LLC determines, in its sole discretion, to be harmful to other users, the platform, or RSI Coaching LLC.
13c. Effect of Termination
Upon termination, your right to access the Services ceases immediately. RSI Coaching LLC will retain your data in accordance with the Privacy Policy and applicable law. You may request deletion of your data by contacting [email protected].
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RSI COACHING LLC DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RSI COACHING LLC'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
RSI COACHING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, BUSINESS, DATA, OR GOODWILL, REGARDLESS OF THE LEGAL THEORY UNDER WHICH THE CLAIM IS BROUGHT.
Canadian Consumer Note: Canadian users retain all statutory rights that cannot be excluded under applicable provincial consumer protection legislation.
Indemnification
You agree to indemnify, defend, and hold harmless RSI Coaching LLC, its members, managers, officers, employees, and agents from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: your use of or access to the Services; your violation of these Terms; any employment decision made using platform data or AI outputs; your User Content; or your violation of any applicable law or third-party right.
Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
Dispute Resolution: Any dispute arising under these Terms that cannot be resolved informally within 30 days shall be submitted to final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Wyoming. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class Action Waiver: You waive the right to participate in a class action lawsuit or class-wide arbitration against RSI Coaching LLC.
Canadian Users: You retain all rights under applicable Canadian provincial consumer protection legislation that cannot be waived by contract. Nothing in this governing law provision limits those rights.
General Provisions
Entire Agreement: These Terms, together with the Privacy Policy and any coaching agreement, constitute the entire agreement between you and RSI Coaching LLC regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
Waiver: RSI Coaching LLC's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign your rights or obligations under these Terms without RSI Coaching LLC's written consent. RSI Coaching LLC may assign these Terms without restriction.
